Who you are contracting with

Synapse Dynamics LLC, a limited liability company formed in Wyoming, United States (Secretary of State filing ID 2025-001595944), principal office 1309 Coffeen Avenue, Suite 1200, Sheridan, Wyoming 82801, USA, trading online as "Synapse Dynamix" at synapsedynamix.com. The brand is spelled with an "x" and the registered company with a "c"; both refer to the same legal entity, which is the seller of record for every order and the name that appears on your card statement.

By purchasing, downloading, licensing or using our software you agree to these terms. If you do not agree with them, do not use the software.

What you are buying

You are buying a licence to use our software. You are not buying the software itself, and ownership of it, its models and all intellectual property in it remains with us at all times.

Your licence is non-exclusive, non-transferable and revocable, and permits you to run the software for your own trading, on your own broker accounts, for as long as these terms are observed.

Broker account limits

Each product carries its own allowance. Owning the Portfolio, Synthetics and Giveaway products gives you three broker accounts for each of them, not three in total.

You manage your own broker accounts from your account area, and you may move a licence to a different broker account yourself if you change broker. Excessive movement of licences in a way that indicates sharing may be treated as a breach of these terms.

What you may not do

• Share, resell, rent, sublicense, publish or otherwise distribute the software or your licence to anyone else.
• Decompile, disassemble, reverse-engineer, or attempt to extract the models, source code or trading logic.
• Circumvent, disable or tamper with the licensing, update or protection mechanisms.
• Use the software to operate a signal service, copy-trading service or managed-account service for third parties without our written permission.
• Use one licence across accounts belonging to multiple people, or otherwise defeat the per-product broker account limit.
• Represent our results as your own, or market the software as your own product.

Updates

We improve our models over time. Minor updates are delivered automatically to licensed installations over the air, and require nothing from you. Major releases may require you to install an updated program file, which we will tell you about.

We may change, add or retire individual trading pairs and models as markets change. We do not guarantee that any particular pair or configuration will remain available indefinitely.

Suspension and termination

We may suspend or terminate your licence without refund if you breach these terms, in particular by sharing or redistributing the software, tampering with the licensing system, or filing a fraudulent chargeback.

You may stop using the software at any time. Ending your use does not entitle you to a refund except as set out in our Refund Policy.

No advice, and no guarantee

The software is an automated tool. It is not financial, investment or trading advice, and we are not your financial adviser or broker. You decide whether to run it, on what capital, and at what risk setting, and you are solely responsible for those decisions and their outcomes.

Nothing we publish is a promise of profit. Please read the Risk Disclaimer in full — it forms part of these terms.

Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the software or these terms is limited to the amount you paid us for the product giving rise to the claim.

We are not liable for trading losses, lost profits, missed opportunities, broker or platform failures, data or connectivity outages, or any indirect or consequential loss.

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud.

Which purchases these terms cover

The current product line first went on sale in December 2024. Synapse Dynamics LLC was formed on 21 January 2025 and began trading as the seller of record on 30 January 2025, which is the effective date of these terms.

We revise this wording from time to time; the "last updated" date above tells you when it last changed. Revisions are not applied retroactively to your disadvantage — your licence continues on the basis it was sold to you, and where the current terms are more generous than those that applied when you bought, you get the benefit of them.

If you bought before the effective date above, or you are simply unsure where you stand, ask us and we will tell you plainly.

Changes to these terms

We may update these terms as the product and the business change. The effective date at the top of this page tells you when it was last revised, and material changes will be communicated to licensed customers by email.

Governing law

These terms are governed by the laws of the State of Wyoming, United States, and the courts of that state have exclusive jurisdiction over any dispute.

This does not take away rights you have as a consumer where you live. If the consumer protection law of your own country gives you rights that cannot be contracted away, those rights continue to apply to you regardless of the paragraph above.
